Terms of Service

Welcome to SplitDLT. These Terms of Service ("Terms") govern your access to and use of SplitDLT's services, website, and platform (collectively, the "Service") provided by StackStats Apps LLC ("we," "us," or "our").

By using SplitDLT, you agree to these Terms. If you don't agree, don't use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using SplitDLT, you:

• Agree to be bound by these Terms
• Agree to our Privacy Policy
• Represent that you are at least 18 years old
• Represent that you have the legal capacity to enter into binding contracts
• Acknowledge the risks of cryptocurrency transactions

2. Description of Service

SplitDLT is a platform that facilitates group payments and bill splitting using stablecoins and cryptocurrency on the XRP Ledger (XRPL). Our Service includes:

• Creating and managing expense splits
• Tracking payments from multiple participants
• Facilitating on-ledger transactions
• Providing expense history and reporting
• Group wallet management

We are a software platform, not a financial institution. We do not custody funds, provide financial advice, or act as a money transmitter.

3. Eligibility

To use SplitDLT, you must:

• Be at least 18 years old
• Have the legal capacity to enter into contracts in your jurisdiction
• Not be located in a jurisdiction where cryptocurrency use is prohibited
• Not be on any sanctions list or otherwise prohibited from using financial services
• Comply with all applicable laws in your jurisdiction

4. Account Registration

4.1 Account Creation

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account

4.2 Account Security

You are solely responsible for:

• Maintaining the security of your account credentials
• Securing your cryptocurrency wallet and private keys
• All transactions made from your account
• Any losses resulting from unauthorized access due to your negligence

5. Wallet and Cryptocurrency

5.1 Self-Custody

SplitDLT is a non-custodial platform. We do not:

• Hold your cryptocurrency or private keys
• Have access to your funds
• Control your wallet
• Execute transactions without your explicit authorization

You are solely responsible for the security of your wallet and private keys.

5.2 Blockchain Transactions

All transactions are executed on the XRPL public blockchain. You understand and accept that:

• All transactions are irreversible and permanent
• Transaction details are publicly visible on the blockchain
• We cannot cancel, reverse, or recover funds from a transaction
• Blockchain network fees (gas fees) apply and are your responsibility
• Transaction speed depends on blockchain network conditions

5.3 Supported Tokens

SplitDLT supports specific tokens on XRPL (RLUSD, USDC, USDT, XRP). We may add or remove support for tokens at our discretion. We are not responsible for:

• Token value fluctuations
• Token issuer actions or failures
• Network congestion or failures
• Third-party wallet compatibility

6. Service Usage

6.1 Permitted Use

You may use SplitDLT for lawful purposes, including:

• Splitting expenses with friends, family, or colleagues
• Managing group payments
• Tracking shared expenses
• Creating group wallets for legitimate purposes

6.2 Prohibited Use

You may NOT use SplitDLT for:

• Illegal activities or money laundering
• Financing terrorism or prohibited organizations
• Fraud, scams, or deceptive practices
• Violating sanctions or export control laws
• Circumventing financial regulations
• Harassment, abuse, or harm to others
• Unauthorized access to systems or data
• Spamming or automated abuse
• Impersonating others

Violation of these prohibitions may result in immediate account termination and legal action.

7. Fees and Payment

7.1 Platform Fees

SplitDLT charges subscription fees for Pro and Team plans. By subscribing, you agree to:

• Pay all applicable fees
• Automatic renewal unless canceled
• Potential price changes with 30 days notice
• No refunds for partial months

7.2 Blockchain Fees

XRPL network fees (transaction costs) are separate from platform fees and are paid directly to the blockchain network. These fees are outside our control.

7.3 Payment Processing

Payments are processed through cryptocurrency transactions. We do not handle credit cards or traditional payment methods for transaction splitting.

8. Intellectual Property

All content, features, and functionality of SplitDLT (including but not limited to text, graphics, logos, software, and design) are owned by StackStats Apps LLC and protected by intellectual property laws.

You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile the software
• Remove copyright or proprietary notices
• Use our branding without permission

9. Disclaimers and Limitations

9.1 No Warranty

SplitDLT is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy or reliability of information
• Security or freedom from viruses

9.2 Assumption of Risk

You acknowledge and accept the risks of cryptocurrency, including:

• Volatility: Cryptocurrency values can fluctuate dramatically
• Irreversibility: Transactions cannot be undone
• Loss: Funds can be lost due to user error, hacks, or wallet loss
• Regulatory Risk: Laws may change affecting cryptocurrency use
• Technical Risk: Blockchain networks may fail or experience issues

9.3 No Financial Advice

SplitDLT does not provide financial, investment, tax, or legal advice. Consult with qualified professionals for such advice.

10. Limitation of Liability

To the fullest extent permitted by law, StackStats Apps LLC, its officers, directors, employees, and agents shall NOT be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Loss of cryptocurrency or funds
• Damages arising from unauthorized access to your account
• Damages caused by third parties, including blockchain networks
• Damages exceeding the fees paid to us in the past 12 months

This limitation applies even if we were advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless StackStats Apps LLC and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including legal fees) arising from:

• Your use of SplitDLT
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your negligence or misconduct

12. Termination

12.1 Termination by You

You may close your account at any time by contacting support. Upon termination:

• Your access to the Service will cease
• No refunds will be issued for unused subscription time
• Blockchain transactions remain permanent and visible

12.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if you:

• Violate these Terms
• Engage in prohibited activities
• Pose a security or legal risk
• Provide false information

12.3 Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Arbitration

Any dispute arising from these Terms or your use of SplitDLT shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class arbitration.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via:

• Email to registered users
• Prominent notice on the website
• Updated "Last Updated" date

Continued use of SplitDLT after changes constitutes acceptance. If you don't agree to changes, you must stop using the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and StackStats Apps LLC regarding SplitDLT.

15.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions will remain in effect.

15.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment

You may not assign or transfer these Terms. We may assign these Terms to affiliates or successors.

15.5 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including blockchain network failures, natural disasters, or government actions.
